1. Introduction
Welcome to Fast Mile Sourcing Ltd ("Fast Mile", "we", "us", or "our").
By accessing or using our website or services, you agree to comply with and be bound by these Terms and Conditions ("Terms").
If you do not agree with any part of these Terms, please do not use our website or services.
2. Scope of Services
Fast Mile Sourcing Ltd provides sourcing, supplier management, project coordination, quality assurance, and logistics facilitation services.
We act as an intermediary. Manufacturing, shipping, and related services are provided by independent third-party suppliers and logistics partners.
While we exercise due diligence in managing these relationships, Fast Mile does not assume liability for acts, delays, or omissions by third parties beyond our direct control.
3. Quotations and Orders
Quotations are valid for thirty (30) days unless otherwise stated.
A confirmed order or acceptance referencing the quotation number constitutes agreement to these Terms.
Fast Mile reserves the right to decline orders that do not align with our sourcing policies or compliance standards.
4. Payments
Unless otherwise agreed in writing:
A 50% deposit is required to initiate any order or project.
The remaining 50% is payable upon completion or delivery.
All payments are made in Kenyan Shillings (KES) to accounts specified by Fast Mile Sourcing Ltd.
Failure to make timely payment may result in suspension or cancellation of services.
5. Quality and Inspection
We provide inspection and quality control services based on the scope agreed upon with the Client.
Fast Mile’s responsibility is limited to the accuracy and completeness of inspections conducted under those terms.
Clients acknowledge that product outcomes may vary due to factors beyond our control during manufacturing or shipment.
6. Third-Party Suppliers and Liability
Fast Mile is not responsible for:
Production or delivery delays caused by suppliers or logistics providers.
Loss, damage, or defects occurring during shipping.
Any negligence or default by third-party partners.
Our total liability shall not exceed the total amount paid for the specific project giving rise to a claim.
We are not liable for indirect or consequential losses such as lost profits or business opportunities.
7. Confidentiality
We respect the confidentiality of all client information, including supplier data, designs, pricing, and trade secrets.
Such information will not be disclosed to third parties without consent, except where required by law.
8. Intellectual Property
All intellectual property (IP) provided by the Client, including trademarks, designs, and brand assets, remains the sole property of the Client.
Fast Mile will not reproduce, share, or use Client IP beyond the agreed service scope.
All systems, documentation, and methodologies developed by Fast Mile remain our exclusive property.
9. Termination
Either party may terminate a project or service agreement with seven (7) days’ written notice.
Upon termination:
Outstanding invoices must be settled immediately.
Work completed to date will be billed proportionally.
Both parties must return or destroy confidential materials upon request.
10. Dispute Resolution
In case of a dispute, both parties shall first attempt to resolve the issue amicably.
If unresolved, the matter shall be referred to arbitration under the Arbitration Act (Cap. 49, Laws of Kenya), with proceedings held in Nairobi, Kenya.
The arbitrator’s decision shall be final and binding.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
12. Force Majeure
Fast Mile shall not be held liable for delays or non-performance due to events beyond its reasonable control, including but not limited to natural disasters, strikes, government actions, war, or logistical disruptions.
13. Amendments
We may revise these Terms periodically. The updated version will be posted on this page with a new “Last Updated” date. Continued use of our website or services constitutes acceptance of the revised Terms.
